Terms of Use and Terms of Sale

Effective Date: September 7, 2026
Last Updated: September 7, 2026

Welcome to the Sheepdog Church Security LLC online learning platform located at https://sheepdog-church-security.thinkific.com/ (the “Platform”).

The Platform is operated by Sheepdog Church Security LLC (“Sheepdog Church Security,” “SCSA,” “we,” “us,” or “our”) using technology provided by Thinkific.

These Terms of Use and Terms of Sale (“Terms”) govern your access to and use of the Platform and your purchase or use of courses, subscriptions, downloads, templates, workshops, memberships, educational resources, and other products or services offered through the Platform.

Please read these Terms carefully.

IMPORTANT NOTICE REGARDING DISPUTE RESOLUTION

SECTION 25 CONTAINS AN AGREEMENT TO RESOLVE MOST DISPUTES THROUGH INDIVIDUAL BINDING ARBITRATION RATHER THAN A JUDGE OR JURY AND INCLUDES A CLASS-ACTION WAIVER. IT ALSO EXPLAINS HOW YOU MAY OPT OUT OF THE ARBITRATION AGREEMENT WITHIN 30 DAYS.

1. Acceptance of These Terms

You agree to these Terms when, after being presented with them, you:

· create an account;

· enroll in a course or program;

· purchase a product or service;

· begin a paid or free subscription;

· expressly accept these Terms through a checkbox or similar mechanism; or

· otherwise use a portion of the Platform that requires acceptance of these Terms.

If you do not agree to these Terms, do not create an account, purchase a product or service, or use portions of the Platform that require acceptance.

If you purchase or use a product on behalf of a church, company, ministry, nonprofit organization, or other entity, you represent that you have authority to bind that organization to these Terms with respect to the purchase and use you authorize.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to independently purchase products or establish an account through the Platform.

You may not use the Platform if applicable law prohibits you from doing so.

Our courses and services are generally intended for adults. Any exception allowing a minor to participate must be expressly authorized by SCSA and may be subject to additional parental, guardian, organizational, or other requirements.

Geographic Eligibility

Sheepdog Church Security is a United States business. SCSA products, training, enrollments, subscriptions, memberships, and services are offered to individuals and organizations located in the United States.

For purposes of these Terms, “United States” includes the fifty states, the District of Columbia, and United States territories and possessions.

Unless SCSA expressly authorizes otherwise in writing before enrollment or purchase, you may purchase, enroll in, subscribe to, or establish an account for SCSA training or services only if your primary residence is in the United States or, for an organizational purchase, the purchasing organization has its principal place of operations in the United States.

By creating an account, enrolling, subscribing, or purchasing, you represent that you satisfy this geographic eligibility requirement and that the country, billing, contact, and other location information you provide is accurate.

The technical availability of the Platform or SCSA materials from a location outside the United States does not constitute an offer by SCSA to provide products or services in that location.

If SCSA determines that an account, enrollment, subscription, or purchase was accepted from a person or organization that does not satisfy this requirement, SCSA may cancel the transaction, terminate or restrict access, and provide an appropriate refund or other remedy, subject to applicable law and these Terms.

Foreign Consumer Rights. SCSA does not offer products or services outside the United States. If a transaction involving an otherwise geographically ineligible customer is nevertheless inadvertently accepted, nothing in these Terms limits any withdrawal, cancellation, refund, or other consumer right that applicable law makes nonwaivable. Where an applicable withdrawal function is made available through the Platform, an eligible customer may use that function through the customer’s billing page.

Temporary travel outside the United States by an otherwise eligible customer does not by itself make that customer ineligible.

3. About Our Training and Services

Sheepdog Church Security provides education, training, resources, and related services concerning church safety, security, emergency preparedness, leadership, risk management, and related subjects.

Products available through the Platform may include:

· online courses;

· educational videos;

· downloadable resources;

· templates;

· checklists;

· worksheets;

· guides;

· subscriptions or memberships;

· live or recorded workshops;

· webinars;

· certification programs;

· consulting or related services; and

· other educational products.

The description, price, access period, included materials, prerequisites, subscription terms, and other product-specific conditions displayed on the applicable sales or checkout page form part of your purchase.

If a specific written product term conflicts with these general Terms, the product-specific term will control for that product to the extent of the conflict.

4. Educational Purpose; No Legal or Professional Advice

SCSA provides educational information.

Unless expressly stated otherwise in a separate written professional-services agreement, SCSA does not provide:

· legal advice;

· legal representation;

· insurance advice;

· medical advice;

· mental-health treatment;

· law-enforcement services;

· emergency-response services;

· licensed security services;

· engineering or architectural services; or

· other licensed professional services.

Nothing in a course, template, checklist, presentation, workshop, discussion, email, or other SCSA resource creates an attorney-client, insurer-insured, clinician-patient, law-enforcement, security-provider, or other professional relationship.

Laws, regulations, insurance requirements, organizational policies, facility conditions, local practices, and individual circumstances vary considerably.

You are responsible for determining whether a recommendation, procedure, policy, template, practice, equipment choice, security measure, or other course concept is appropriate and lawful for your church or organization.

When legal requirements, use of force, weapons, employment, child protection, mandatory reporting, insurance, building codes, emergency response, or other regulated subjects are involved, you should consult the appropriately licensed attorney, insurer, governmental authority, professional, or other qualified adviser for your jurisdiction and circumstances.

SCSA materials should not be treated as a substitute for appropriate local professional advice.

SCSA materials are developed for churches, ministries, organizations, and safety personnel operating in the United States. They are not designed to describe, satisfy, or provide guidance concerning the legal, regulatory, licensing, insurance, privacy, employment, weapons, use-of-force, child-protection, emergency-response, or other requirements of foreign jurisdictions.

SCSA makes no representation that its materials are appropriate or lawful for use outside the United States.

5. No Guarantee of Safety or Particular Results

Church safety and security involve risk.

SCSA does not guarantee that completing a course, adopting a policy, implementing a recommendation, purchasing equipment, conducting training, or following any particular practice will:

· prevent a crime;

· prevent an injury;

· prevent violence;

· prevent property damage;

· prevent litigation;

· prevent an insurance claim;

· satisfy every legal or regulatory requirement;

· guarantee an effective emergency response; or

· produce any particular outcome.

Training and preparedness can help organizations manage risk, but no safety or security system can eliminate all risk.

You remain responsible for decisions made by you, your church, your organization, your employees, your volunteers, and other persons acting under your authority.

In an actual emergency, contact the appropriate emergency service or governmental authority rather than relying on the Platform as a source of real-time emergency assistance.

6. Privacy

Our collection and handling of personal information are described in our Privacy Policy, available through the Platform.

The Privacy Policy is a notice describing our privacy practices. Acceptance of these Terms does not by itself constitute consent to marketing communications or nonessential tracking technologies where applicable law requires separate consent.

7. Electronic Communications

By creating an account, purchasing a product, or using the Platform, you agree that we may send electronic communications reasonably necessary to administer your relationship with us.

These may include:

· order confirmations;

· receipts;

· account notices;

· password or security communications;

· course-access information;

· subscription notices;

· billing notices;

· service announcements;

· changes materially affecting a product or service you use;

· legally required notices; and

· responses to your requests.

You agree that electronic versions of agreements, notices, disclosures, and other records may satisfy requirements that such communications be provided in writing to the extent permitted by law.

Marketing Communications

Marketing communications are separate from required transactional or administrative communications.

Where required by law, we will obtain any necessary marketing consent separately.

You may unsubscribe from SCSA marketing emails at any time using the unsubscribe link contained in the email.

Unsubscribing from marketing does not prevent us from sending transactional, account, course, subscription, security, or other communications reasonably necessary to provide services you requested.

8. Your Account

You are responsible for maintaining the confidentiality and security of your account credentials.

Unless the product expressly provides otherwise:

· your account is for your individual use;

· you may not share your username or password;

· you may not permit another person to use your account;

· you may not sell, transfer, sublicense, rent, or assign your account; and

· you may not use one enrollment to provide course access to multiple people.

You are responsible for activity occurring through your account to the extent reasonably attributable to your actions or your failure to protect your account credentials.

If you believe your account has been compromised, contact us promptly at:

[email protected]

We may require a password reset or take other reasonable security measures.

9. Individual and Organizational Purchases

Unless a sales page, invoice, license, or written agreement expressly provides otherwise, a course enrollment is licensed to one individual user.

A church or organization purchasing access for multiple people must purchase the appropriate number of seats or obtain an organizational or group license where offered.

Purchasing a product using church or organizational funds does not automatically convert an individual course enrollment into a multi-user license.

Certain downloadable templates, worksheets, checklists, or similar materials are intended to be adapted for use within the purchaser’s own church or organization. The permitted use of those materials is addressed in Section 18.

10. Course Access

The access period for a product will be stated on the applicable sales page, checkout page, product description, or other written offer when a specific access period applies.

One-Time Course Purchases

Unless a different access period is clearly disclosed before purchase, a non-subscription online course purchased for a single one-time fee will remain accessible to the purchaser for at least one year from the date of purchase, subject to these Terms.

SCSA may provide access for longer than the minimum period without creating an obligation to maintain access indefinitely.

If a product is expressly advertised as including a particular longer access period, that stated access period will apply, subject to these Terms and circumstances beyond our reasonable control.

Updates

We may update, replace, reorganize, improve, or remove individual lessons, files, videos, examples, references, or features as training, technology, law, industry practices, or our curriculum changes.

Reasonable updates to a course do not constitute discontinuation of the course.

Discontinued Products

We may discontinue a course or other digital product.

When reasonably practicable, we will provide at least 30 days’ notice before permanently removing a paid product for which students still have active access.

If we permanently discontinue a paid product before the minimum access period promised at purchase has expired, we may, as appropriate:

· preserve access for the remaining period;

· provide substantially equivalent replacement content;

· allow relevant materials to be downloaded where appropriate;

· issue a credit; or

· provide a refund or prorated refund for the materially unavailable portion.

This does not require us to continue a product when doing so would violate law, create a security problem, infringe another person’s rights, or be impossible because of circumstances outside our reasonable control.

11. Prices, Taxes, and Payment

Prices may change at any time.

A price change will not retroactively change the price of an order already completed, except as expressly disclosed for a subscription, renewal, or other recurring arrangement.

The price applicable to your purchase will be the price presented at checkout.

Applicable sales tax, use tax, or other governmental charges may be added where required by law.

Payments are processed through Thinkific-integrated payment services or other third-party payment providers.

By providing a payment method, you represent that:

· the payment information you provide is accurate;

· you are authorized to use the payment method;

· you authorize the applicable charges disclosed at checkout; and

· you will pay the amounts properly charged under your purchase agreement.

SCSA does not generally store complete payment-card credentials.

12. Payment Plans

A payment plan and a subscription are different arrangements.

A payment plan divides the fixed purchase price of a product into installments. Unless the offer expressly says otherwise, selecting a payment plan does not allow you to cancel the remaining installments merely because you later stop using the product.

When you select a payment plan:

1. The total purchase price and installment schedule will be disclosed before purchase.

2. You authorize the applicable payment processor to charge each installment when due.

3. You agree to maintain a valid payment method during the installment period.

4. Failed payments may be retried by the payment processor as permitted by its procedures and applicable law.

5. We may suspend access while an installment remains materially past due.

6. You remain responsible for unpaid installments that form part of the agreed purchase price, subject to applicable law and the refund provisions in these Terms.

7. We may use lawful collection methods for amounts properly due and unpaid.

You will not be responsible for arbitrary collection penalties or predetermined percentage collection charges solely because an account is referred for collection.

You may, however, be responsible for reasonable collection costs, court costs, or attorneys’ fees when expressly authorized by applicable law, a court, an arbitrator, or another enforceable agreement.

13. Subscriptions and Automatic Renewal

Some SCSA products may be sold as subscriptions or memberships.

A subscription differs from a payment plan because a subscription renews or continues until canceled according to the terms disclosed when you subscribe.

Before you enter into an automatically renewing or continuous subscription, we will disclose the material subscription terms as required by applicable law, which may include:

· that the subscription renews or continues until canceled;

· the recurring price;

· the billing frequency;

· the length of the renewal term, if applicable;

· any minimum commitment;

· how to cancel; and

· material conditions associated with the subscription.

By purchasing a subscription, you authorize the applicable recurring charges disclosed at checkout until the subscription is canceled.

Cancellation

You may cancel a subscription using the cancellation or subscription-management method provided with the subscription or by contacting us at:

[email protected]

Where applicable law requires an online cancellation method, we will provide one.

Cancellation ordinarily stops future renewal charges and takes effect at the end of the then-current paid subscription period unless:

· the applicable subscription offer provides otherwise; or

· applicable law requires a different effective date.

Price or Material Changes

We may change subscription prices or other material subscription terms prospectively.

Where required by law, we will provide advance notice of a material change and information explaining how to cancel before the change takes effect.

We will not use a change to these Terms to impose a new recurring charge that you did not authorize.

14. Free Trials and Promotional Offers

If we offer a free trial, introductory price, promotional subscription, or similar offer, the specific conditions of that offer will be disclosed when it is presented.

If a free trial converts automatically into a paid subscription, we will disclose:

· that conversion;

· when billing begins;

· the amount or applicable pricing;

· the billing frequency; and

· how to cancel before charges begin.

We will provide any additional reminder required by applicable law.

Unless otherwise stated, promotional offers may be limited to one per person, account, household, church, organization, or other reasonable category described in the offer.

15. Refund Policy

Unless a specific product clearly provides a more favorable policy, SCSA offers a 30-day, no-questions-asked refund for purchases made through the Platform.

To request a refund, email:

[email protected]

within 30 days of the applicable charge.

When a full refund is issued for a product, your access to that product may be terminated.

If the purchase included downloadable licensed materials, your license to continue using those materials ends upon refund, except to the extent applicable law provides otherwise.

Refunds are ordinarily issued to the original payment method.

Processing time after SCSA approves a refund may depend on the payment processor and financial institution.

Nothing in this Refund Policy limits any additional refund, cancellation, or rescission right provided by applicable law.

Geographically Ineligible Transactions

If SCSA determines that a purchase or enrollment should not have been accepted because the purchaser does not satisfy the geographic eligibility requirements in Section 2, SCSA may cancel the transaction, terminate the associated access, and refund the amount paid as appropriate.

A cancellation or refund under this provision does not authorize future purchases or expand the geographic availability of SCSA products or services.

16. Availability of Live or Personal Services

Some products may include live instruction, consultations, office hours, workshops, direct support, coaching, or other services that depend on the availability of a particular instructor or representative.

Illness, incapacity, death, family emergency, business interruption, or another event may make the originally planned person unavailable.

If SCSA cannot provide a material paid personal service, SCSA may, as appropriate:

· reschedule the service;

· provide a qualified substitute;

· provide an alternative service of reasonably comparable value;

· issue a credit; or

· refund the unperformed portion of the service.

The death or incapacity of an owner, instructor, employee, or contractor does not automatically terminate access to previously purchased self-paced digital courses that remain technically and commercially available.

Subscription services may be modified, transferred, or concluded consistent with their subscription terms and applicable law if SCSA ceases operations.

17. Ownership of SCSA Content

Except for content expressly identified as belonging to someone else, the Platform and SCSA materials are owned by or licensed to Sheepdog Church Security LLC.

Protected materials may include:

· videos;

· audio;

· written lessons;

· PDFs;

· slide presentations;

· graphics;

· photographs;

· illustrations;

· course structures;

· assessments;

· quizzes;

· templates;

· checklists;

· worksheets;

· downloads;

· branding;

· trademarks;

· logos; and

· compilations of educational material.

These materials are protected by copyright, trademark, and other applicable intellectual-property laws.

Purchasing a product gives you a license to use that product as described in these Terms. It does not transfer ownership of the intellectual property to you.

18. License and Permitted Use

Subject to payment of applicable fees and compliance with these Terms, SCSA grants you a limited, nonexclusive, nontransferable, nonsublicensable license to use purchased content for the purposes for which it was provided.

Educational Course Content

Unless expressly authorized otherwise, course videos, lessons, presentations, assessments, manuals, and similar instructional content are for the enrolled student’s own use.

You may not:

· share your course login;

· copy or distribute course videos;

· record or republish course instruction;

· upload course materials to a shared drive for unlicensed users;

· sell or sublicense course materials;

· publicly post substantial course content;

· remove copyright or proprietary notices;

· create competing training products substantially derived from our course content; or

· otherwise distribute SCSA instructional content outside the license you purchased.

Templates, Checklists, Forms, and Customizable Resources

Some SCSA materials are specifically designed to be customized and used by a church or organization.

When a resource is reasonably presented as a customizable template, checklist, worksheet, policy framework, planning document, or similar tool, the purchaser may:

· edit it;

· adapt it;

· add the purchaser’s church or organization information;

· reproduce reasonable copies for internal use;

· provide it internally to leaders, staff, employees, or volunteers who need it for the intended organizational purpose; and

· incorporate the customized result into the purchaser’s own internal safety or administrative system.

This permission does not allow you to:

· resell the original or modified resource;

· offer it as your own commercial product;

· publish it publicly as a downloadable resource;

· distribute it to unrelated churches or organizations;

· place it in a paid resource library;

· use it to create a competing commercial training product; or

· remove SCSA attribution or copyright notices when the resource requires them to remain.

Group or Organizational Licenses

If you purchase a group, team, church, enterprise, or organizational license, your permitted uses may be broader. The applicable sales page, invoice, or written license will control.

19. Automated Extraction and Artificial Intelligence

You may not use automated systems, scraping tools, bots, crawlers, or similar methods to systematically extract, copy, reproduce, or compile substantial portions of SCSA course content.

You may not use SCSA proprietary course materials to train, fine-tune, build, or commercially improve an artificial-intelligence model or dataset without our written permission.

Ordinary use of a private productivity tool to assist with your authorized internal use of a customizable resource is not prohibited by this section, provided that:

· the use is consistent with your license;

· you do not distribute SCSA content beyond the authorized purpose; and

· you remain responsible for reviewing the resulting material before relying upon it.

20. Acceptable Use of the Platform

You may not use the Platform to:

· violate applicable law;

· infringe another person’s intellectual-property or privacy rights;

· gain unauthorized access to an account or system;

· interfere with Platform operation;

· introduce malware or malicious code;

· circumvent access controls;

· scrape or systematically extract content;

· impersonate another person;

· engage in fraud;

· harass, threaten, stalk, or abuse another user;

· collect personal information about other users without authorization; or

· use the Platform in a manner that materially interferes with another person’s use of it.

We may take reasonable action to protect the Platform, SCSA, other students, and our intellectual property when these requirements are violated.

21. Communities, Discussions, and User Submissions

The Platform may allow comments, discussions, assignments, reviews, surveys, community posts, or other user-submitted material (“User Content”).

You retain ownership of User Content that you own.

By submitting User Content to a feature intended to store, display, process, or share that material, you grant SCSA and the service providers necessary to operate the Platform a limited, nonexclusive license to host, store, reproduce, format, display, and otherwise process that User Content only as reasonably necessary to operate the relevant service, administer the course, provide support, comply with law, and protect the Platform.

This operational license ends when the material is deleted or no longer reasonably necessary, subject to backups, legal retention requirements, and material that has already been legitimately shared with others.

Feedback

If you voluntarily provide suggestions or feedback about SCSA products or services, we may use those ideas to improve our business without compensation or obligation to you, provided we do not use your personal information in a manner inconsistent with our Privacy Policy.

Your Responsibility for User Content

You represent that you have the rights necessary to submit material you post or upload.

Do not submit confidential or sensitive information about another person unless you have appropriate authority and a legitimate reason to do so.

In particular, avoid unnecessary identifying information concerning:

· children;

· church members;

· victims;

· medical patients;

· people involved in security incidents; or

· other third parties.

Moderation

We are not obligated to monitor every communication or post.

We may nevertheless remove content or restrict participation when we reasonably believe content:

· violates these Terms;

· infringes another person’s rights;

· creates a security or privacy concern;

· is unlawful;

· is abusive or disruptive; or

· materially interferes with the educational purpose of the Platform.

22. Third-Party Platforms, Links, and Services

The Platform is hosted using Thinkific and may integrate with or link to other third-party services.

These may include payment processors, video services, document providers, external websites, government resources, professional organizations, social-media services, or other educational resources.

SCSA does not control third-party websites or independent third-party services.

A link does not necessarily mean that SCSA:

· endorses every statement on the linked site;

· controls that organization;

· guarantees the site’s accuracy;

· guarantees its availability; or

· accepts responsibility for its privacy or security practices.

Your use of a third-party service may be subject to that provider’s own terms and privacy policy.

23. Platform Availability and Changes

We work to make the Platform and purchased content reasonably available, but uninterrupted access cannot be guaranteed.

Access may occasionally be unavailable because of:

· maintenance;

· updates;

· internet outages;

· hosting-provider outages;

· payment-provider issues;

· cybersecurity incidents;

· equipment failures;

· legal requirements;

· force-majeure events; or

· other circumstances outside our reasonable control.

We may update or change Platform functionality as technology and our services evolve.

Temporary interruptions do not constitute a breach of these Terms when we use commercially reasonable efforts to restore or provide the affected service.

24. Suspension and Termination

We may suspend or terminate an account or particular access when reasonably necessary because of:

· nonpayment;

· payment fraud;

· account compromise;

· credential sharing;

· unauthorized distribution of SCSA materials;

· infringement of intellectual-property rights;

· material violation of these Terms;

· failure to satisfy the geographic eligibility requirements in Section 2, including a material misrepresentation concerning residence, organizational location, billing country, or other information relevant to geographic eligibility;

· unlawful activity;

· threats to Platform security; or

· conduct materially harmful to SCSA or other users.

Where appropriate under the circumstances, we may provide notice and an opportunity to correct a violation before permanent termination.

Immediate suspension or termination may occur when reasonably necessary to address fraud, security, unlawful activity, serious misconduct, intellectual-property infringement, or another material risk.

If we terminate a paid student’s access without cause before an expressly promised paid access period has expired, we will provide an appropriate remedy, which may include restored access, comparable replacement access, credit, or a prorated refund.

Termination for a user’s material breach does not automatically entitle the user to a refund.

Sections that by their nature should survive termination—including intellectual-property provisions, payment obligations already incurred, disclaimers, liability limitations, dispute-resolution provisions, and other accrued rights—will survive.

25. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

A. Informal Resolution First

Before filing arbitration or a lawsuit, you and SCSA agree to make a reasonable good-faith effort to resolve the dispute informally.

You may send a written notice describing the dispute to:

Sheepdog Church Security LLC
 712 Maple Cir
 Belle Plaine, Minnesota 56011
Email: [email protected]

The notice should include:

· your name;

· the email associated with your account, if applicable;

· a description of the dispute;

· the relief you are requesting; and

· information reasonably necessary for us to understand the issue.

SCSA will provide similar information if SCSA initiates a dispute.

Unless urgent relief is reasonably necessary, neither party will commence arbitration until at least 30 days after the other party receives the notice.

B. Small Claims Court

Either party may bring an individual claim in a small claims or conciliation court when the claim qualifies for that court and remains on an individual, non-class basis.

C. Consumer Transactions

If you acquired the applicable product or service primarily for personal, family, or household purposes and a dispute is not resolved informally or in small claims court, the dispute will be resolved by individual binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules and Mediation Procedures then in effect.

The AAA Consumer Arbitration Rules will govern procedural matters, including allocation of arbitration fees, except where applicable law requires a different result.

The arbitration may occur by documents, telephone, videoconference, or an in-person hearing as permitted by the AAA rules and appropriate to the dispute.

Any in-person consumer hearing will take place at a location required by applicable law or the AAA Consumer Arbitration Rules, or at another mutually agreed location.

The arbitrator may award any individual remedy that would be available in court under applicable law, including monetary, declaratory, or injunctive relief where authorized.

D. Business and Organizational Transactions

If a product or service was acquired primarily for commercial, organizational, ministry, institutional, or other non-consumer purposes, an unresolved dispute will be resolved through binding arbitration administered by the AAA under its Commercial Arbitration Rules and Mediation Procedures then in effect, unless the parties agree otherwise.

Unless required otherwise by applicable law or agreed by the parties, the arbitration will take place in Minnesota or remotely.

E. Individual Claims Only; Class-Action Waiver

To the fullest extent permitted by law, arbitration under these Terms will proceed only on an individual basis.

You and SCSA each waive the right to have a dispute heard or resolved as:

· a class action;

· a collective action;

· a consolidated action involving unrelated claimants;

· a private-attorney-general action; or

· another representative proceeding.

An arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that individual’s claim.

If applicable law makes this class-action waiver unenforceable for a particular claim or form of relief and the defect cannot lawfully be severed, that claim or form of relief may proceed in a court of competent jurisdiction.

F. Arbitration Fees and Attorneys’ Fees

Arbitration fees will be allocated according to the applicable AAA rules and applicable law.

Each party will ordinarily be responsible for its own attorneys’ fees unless:

· applicable law authorizes an award;

· the arbitrator or court is authorized to award them;

· the applicable arbitration rule provides otherwise; or

· a separate written agreement provides otherwise.

Nothing in these Terms requires a consumer to pay arbitration costs that SCSA is required to pay under the AAA Consumer Arbitration Rules or applicable law.

G. Intellectual-Property and Security Relief

Nothing in this section prevents either party from requesting temporary or preliminary court relief when reasonably necessary to prevent:

· actual or threatened intellectual-property infringement;

· unauthorized access to computer systems;

· misuse of account credentials;

· unlawful disclosure of confidential information; or

· another imminent harm for which temporary judicial relief is legally appropriate.

Seeking such temporary relief does not waive arbitration of the underlying dispute when arbitration otherwise applies.

H. Right to Opt Out of Arbitration

You may opt out of the arbitration agreement in this Section 25 by sending written notice within 30 days after you first accept these Terms.

Send the notice to:

[email protected]

with the subject line:

Arbitration Opt-Out

The notice must include:

· your name;

· the email address associated with your account; and

· a clear statement that you are opting out of the arbitration provision in the Sheepdog Church Security Terms of Use.

Opting out of arbitration will not affect your ability to purchase or use SCSA products.

If you timely opt out, disputes between you and SCSA will be governed by Section 26 instead of the mandatory arbitration provisions above.

26. Governing Law and Court Venue

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles, except to the extent federal law controls.

For a consumer, this choice of law does not deprive you of mandatory protections that cannot legally be waived under the law applicable to you.

For disputes not subject to arbitration—including disputes for which arbitration has been timely opted out—the parties consent to the jurisdiction of appropriate state or federal courts in Minnesota, subject to any mandatory venue or jurisdictional right that applicable law provides to a consumer.

For business or organizational users, venue will be in state or federal courts serving Scott County, Minnesota, unless the parties agree otherwise.

The Platform and publicly available SCSA information may be technically accessible through the Internet from locations outside the United States. Such accessibility is not intended as solicitation of business in another country, an offer by SCSA to provide products or services there, or consent by SCSA to jurisdiction or venue there.

Nothing in this Section limits a right, protection, obligation, venue rule, or jurisdictional requirement that applicable law makes nonwaivable.

27. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND SCSA CONTENT, PRODUCTS, SERVICES, TEMPLATES, CHECKLISTS, AND OTHER MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

SCSA DOES NOT WARRANT THAT:

· THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE;

· EVERY ERROR WILL BE CORRECTED;

· EVERY RESOURCE WILL REMAIN AVAILABLE INDEFINITELY;

· EVERY EXTERNAL LINK WILL REMAIN CURRENT;

· THE INFORMATION WILL BE APPROPRIATE FOR EVERY JURISDICTION OR CIRCUMSTANCE; OR

· USE OF THE MATERIALS WILL PRODUCE A PARTICULAR SAFETY, SECURITY, LEGAL, FINANCIAL, OPERATIONAL, OR OTHER RESULT.

TO THE EXTENT PERMITTED BY LAW, SCSA DISCLAIMS IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN THOSE JURISDICTIONS, THIS SECTION APPLIES ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

28. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCSA AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THE PLATFORM, A PRODUCT, A SERVICE, OR THESE TERMS, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCSA’S AGGREGATE LIABILITY FOR A CLAIM ARISING FROM A PARTICULAR PAID PRODUCT OR SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO SCSA FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

FOR A CLAIM ARISING SOLELY FROM A FREE SERVICE, SCSA’S AGGREGATE LIABILITY WILL NOT EXCEED $100.

These limitations do not apply to liability that applicable law does not permit us to exclude or limit.

The limitations apply regardless of the legal theory asserted, but only to the maximum extent permitted by law.

29. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Sheepdog Church Security LLC and its members, managers, employees, and agents from third-party claims, liabilities, damages, judgments, and reasonable costs arising from:

· User Content you submit that infringes another person’s rights;

· your unauthorized copying or distribution of SCSA content;

· your fraudulent or unlawful use of the Platform;

· your material violation of these Terms; or

· your intentional violation of another person’s legal rights.

This obligation does not require you to indemnify SCSA for losses caused by SCSA’s own negligence, misconduct, or violation of law where such indemnification would be prohibited.

SCSA may assume control of the defense of a covered claim at its own expense, and you agree to provide reasonable cooperation.

30. Force Majeure

Neither party will be liable for a failure or delay in performing an obligation, other than payment obligations already due, when the failure results from circumstances beyond that party’s reasonable control.

Examples may include:

· natural disasters;

· fire;

· flood;

· severe weather;

· war;

· terrorism;

· civil unrest;

· epidemic or pandemic;

· government orders;

· labor disruptions;

· widespread telecommunications outages;

· power failures;

· cyberattacks;

· failure of critical third-party infrastructure; or

· similar events.

The affected party will use reasonable efforts to resume performance when practicable.

This provision does not eliminate refund, cancellation, or other rights that applicable law makes nonwaivable.

31. No Employment, Partnership, or Agency Relationship

Your purchase, enrollment, or use of the Platform does not create an employment, partnership, franchise, joint venture, fiduciary, or agency relationship between you and Sheepdog Church Security LLC.

Unless SCSA expressly authorizes otherwise in writing, students and community participants are not agents or spokespersons for SCSA.

32. Assignment

You may not assign or transfer your account, license, or rights under these Terms without our written permission.

SCSA may assign these Terms in connection with a merger, acquisition, sale of substantially all relevant assets, corporate restructuring, or other lawful transfer of the business or Platform.

Any assignment remains subject to applicable law and does not eliminate accrued rights or refund obligations.

33. Severability

If a court or arbitrator determines that a provision of these Terms is invalid or unenforceable, the provision will be enforced to the maximum lawful extent or severed if necessary, and the remainder of the Terms will continue in effect.

The specific severability provisions in Section 25 relating to arbitration and the class-action waiver control with respect to that section.

34. No Waiver

Our failure to enforce a provision of these Terms on one occasion does not waive our right to enforce that provision or another provision later.

A waiver is effective only when clearly made by a party with authority to grant it.

35. Entire Agreement and Order of Precedence

These Terms, together with applicable product-specific terms presented at purchase, constitute the agreement governing your use and purchase of SCSA products through the Platform.

The Privacy Policy separately describes our privacy practices.

If terms conflict, the following order generally applies:

1. a separately signed written agreement concerning the specific service;

2. specific terms clearly presented for the product at purchase;

3. these Terms.

Statements in advertising, social-media posts, informal emails, course discussions, or other communications do not modify these Terms unless SCSA expressly agrees to the modification in writing.

36. Changes to These Terms

We may update these Terms from time to time.

Changes may be made to reflect:

· new products or features;

· changes to Platform technology;

· changes to our business practices;

· changes to applicable law; or

· other legitimate operational needs.

The “Last Updated” date will identify the current version.

Material changes will apply prospectively.

We will provide additional notice of material changes when required by law or when the nature of the change reasonably warrants additional notice.

A change to these Terms will not retroactively alter the rules governing a dispute that arose before the change merely to disadvantage a user.

Material changes to an automatically renewing subscription will be communicated as required by applicable law before they take effect.
